BOARD MEMBER
EXPECTATIONS

In order to be eligible for nomination to the CFBN board, each nominee must meet all of the following expectations. Please read carefully before submitting your nomination!

FIDUCIARY DUTIES
According to Illinois law, board members must meet the following duties:

DUTY OF CARE
Make informed decisions and conduct due diligence.

DUTY OF LOYALTY
Act in CFBN's best interest and avoid conflicts of interest.

DUTY OF GOOD FAITH
Make decisions honestly without ulterior motives.

DUTY OF DISCLOSURE
Disclose potential conflicts
and be transparent.


ATTENDANCE & PARTICIPATION
Board members must:

  • Attend 75% of board and annual meetings
  • Actively participate in strategic planning
  • Serve on at least one committee or working group


GOVERNANCE
 Board members must:

  • Know and follow bylaws, conflict of interest policy, and code of ethics
  • Participate in board self-evaluations
  • Support the Executive Director and conduct annual performance reviews.


ADVOCACY & MISSION
Board members must:

  • Stay informed on industry issues and trends
  • Champion CFBN's mission in professional and member-facing settings
  • Identify emerging issues and opportunities that align with CFBN's mission


MEMBER ENGAGEMENT
Board members must:

  • Maintain active member status and pay annual dues in a timely manner
  • Serve as an ambassador to members and prospective members
  • Attend 1-2 events per quarter


FUNDRAISING & REVENUE SUPPORT
Board members must:

  • Recruit new members and sponsors
  • Support revenue-generating activities


TERM LIMITS & SUCCESSION
Board members must:

  • Serve a 3-year term
  • Honor term limits as defined in bylaws
  • Support leadership pipeline and officer succession planning
